TERMS AND CONDITIONS

These Terms and Conditions are between Hello Transport LLC and the individual accepting these terms through the Company portal.

By accepting this Agreement, the Subcontractor confirms that they have read, understood, and agree to follow these terms.

1. Duties and Responsibilities

The Subcontractor agrees to perform assigned duties professionally and according to Company policies. Responsibilities may include order taking, customer service, dispatch coordination, carrier communication, and other logistics-related activities.

2. Payment Terms

The Subcontractor will be compensated according to the agreed commission structure or payment terms provided by the Company.

The Subcontractor understands that they are an independent contractor and are not eligible for Company salary, payroll benefits, or employee benefits. The Subcontractor is responsible for their own taxes, expenses, and financial obligations related to their services.

3. Work Requirements

The Subcontractor is responsible for maintaining the availability, communication standards, and performance expectations required to complete assigned tasks.

The Subcontractor must maintain a suitable work environment, reliable internet access, and the necessary equipment to perform assigned duties. The Subcontractor must also follow Company confidentiality and data protection requirements while handling Company or customer information.

4. Confidentiality

The Subcontractor agrees to protect all confidential Company information, including customer data, carrier information, pricing, business processes, and internal systems. This obligation continues after the relationship ends.

5. Conduct and Company Policies

The Subcontractor agrees to maintain professional conduct, communicate respectfully with customers, carriers, and Company representatives, and follow Company policies and procedures.

6. Non-Solicitation

During the relationship and for twelve (12) months after termination, the Subcontractor agrees not to solicit Company customers, carriers, or employees for competing purposes.

7. Company Property and Work Product

Any work materials, processes, documents, templates, scripts, or systems created for Company operations remain the property of Hello Transport LLC.

8. Independent Contractor Status and Tax Requirements

The Subcontractor acknowledges that they are an independent contractor and not an employee of Hello Transport LLC.

The Subcontractor must complete and submit a valid IRS Form W-9 before receiving payments. Eligible subcontractors will receive a Form 1099-NEC at the end of the year as required by applicable tax laws.

9. Termination

The Company or the Subcontractor may end the working relationship according to applicable agreements and laws. The Company may terminate access or assignments for policy violations, confidentiality breaches, or failure to meet performance expectations.

10. Entire Agreement

This Agreement represents the complete understanding between the Subcontractor and Hello Transport LLC regarding these terms. Any changes must be approved in writing by the Company.

By accepting these Terms and Conditions through the Company portal, the Subcontractor agrees to be bound by these requirements.
